1. INTRODUCTION
Welcome to Papaya Property (the "Platform", "Website", "Service", "we", "us", or "our"). These Terms of Service ("Terms") govern your access to and use of the website papaya-property.com and all related services provided by Papaya Property Limited, a company incorporated in Hong Kong.
By accessing or using our Platform, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Service.
IMPORTANT NOTICE: In case of any discrepancy between language versions of these Terms, the English version shall prevail.
2. DEFINITIONS
"User" - any person who accesses or uses the Platform, including registered and non-registered users.
"Registered User" - a User who has created an account on the Platform.
"Affiliate/Partner" - a registered User who participates in our referral program to promote properties listed on the Platform.
"Developer" - real estate developers and construction companies in Thailand with whom we have brokerage agreements.
"Property Listing" - information about new construction real estate projects in Thailand displayed on the Platform.
"Content" - all information, text, images, videos, data, and materials available on the Platform.
3. ABOUT OUR SERVICE
3.1 Nature of Service
Papaya Property is a marketing and informational platform that:
- Displays listings of new construction (primary market) real estate in Thailand
- Connects potential buyers with Developers
- Operates a referral/affiliate program for traffic partners
Provides information and facilitates connections between parties
3.2 Important Disclaimers
WE ARE NOT:
- A real estate agency or broker
- A party to any transaction between Users and Developers
- Responsible for the accuracy of property information
Guarantors of any transaction outcomes
WE DO:
- Receive marketing commissions from Developers under brokerage agreements
- Share a portion of these commissions with Affiliates who refer successful leads
Moderate and curate content displayed on the Platform
4. REGISTRATION AND ACCOUNTS
4.1 Account Creation
To access certain features of the Platform, you must register for an account by providing:
- Valid email address
- Phone number
Password (or use OAuth authentication)
You may also register using third-party authentication services:

4.2 Account Requirements
You must:
- Be at least 18 years old
- Provide accurate and complete information
- Maintain the security of your account credentials
- Notify us immediately of any unauthorized access
Be responsible for all activities under your account
4.3 Account Termination
We reserve the right to suspend or terminate your account at any time if:
- You violate these Terms
- You engage in fraudulent or illegal activities
- You provide false or misleading information
We discontinue the Service

5. USER OBLIGATIONS AND CONDUCT
5.1 Acceptable Use
You agree to use the Platform only for lawful purposes and in accordance with these Terms. You agree NOT to:
- Violate any applicable laws or regulations
- Infringe upon intellectual property rights of others
- Upload malicious code, viruses, or harmful materials
- Attempt to gain unauthorized access to our systems
- Use automated tools (bots, scrapers) without permission
- Impersonate others or provide false information
- Engage in spam, phishing, or fraudulent activities
- Harass, abuse, or harm other Users
- Manipulate or abuse the referral program
Use the Platform for money laundering or illegal financial activities
6. COMMISSIONS AND AFFILIATE PROGRAM
6.1 Our Business Model
Papaya Property receives marketing commissions from Developers when Users referred through our Platform complete property purchases. These commissions are paid by Developers under our brokerage agreements.
6.2 Affiliate/Referral Program
Registered Users may join our Affiliate program to earn commissions by referring potential buyers. Details are governed by our separate "Affiliate Agreement".
Key points:
- Affiliates can earn 10-30% of the commission we receive from Developers
- Specific commission rates vary by property and Developer agreements
- Minimum payout threshold: $100 USD
- Payments processed monthly within 5 business days of request

7. LIMITATION OF LIABILITY
7.1 No Warranties
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
7.2 Limitation of Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PAPAYA PROPERTY LIMITED SHALL NOT BE LIABLE FOR:
- Any indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Property transaction disputes or losses
- Inaccurate or incomplete property information
- Actions or omissions of Developers or third parties
- Unauthorized access to your account
Service interruptions or technical failures
8. GOVERNING LAW AND JURISDICTION
8.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of Hong Kong Special Administrative Region, without regard to its conflict of law provisions.
8.2 Jurisdiction
Any disputes arising from these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of Hong Kong.
