Affiliate Agreement
1. INTRODUCTION
This Affiliate Agreement ("Agreement") is entered into between Papaya Property Limited, a company incorporated in Hong Kong ("Company", "we", "us", or "our") and you ("Affiliate", "you", or "your") who wishes to participate in our affiliate/referral program (the "Program").
By registering as an Affiliate, you agree to be bound by this Agreement, our Terms of Service, and our Privacy Policy.
IMPORTANT: In case of any discrepancy between language versions, the English version shall prevail.
2. DEFINITIONS
"Affiliate" - an individual or entity that joins the Program to promote properties listed on the Platform and earn commissions.
"Platform" - the website papaya-property.com and all related services.
"Referral" - a potential buyer directed to the Platform through your unique referral link or promotional code.
"Qualified Lead" - a Referral who completes a property purchase transaction with a Developer.
"Commission" - the payment you earn when a Qualified Lead completes a purchase.
"Developer Commission" - the marketing commission we receive from Developers for successful referrals.
3. PROGRAM OVERVIEW
3.1 Purpose
The Program allows you to earn commissions by referring potential property buyers to our Platform. When your Referral completes a purchase, you receive a percentage of the Developer Commission we earn.
3.2 Eligibility
To participate in the Program, you must:
- Be at least 18 years of age
- Have a registered account on the Platform
- Agree to comply with this Agreement and all applicable laws
- Provide accurate payment and tax information
- Not be located in a jurisdiction where participation is prohibited
Not engage in any prohibited promotional methods
4. COMMISSION STRUCTURE
4.1 Commission Rates
You will earn 10% to 30% of the Developer Commission we receive when your Qualified Lead completes a property purchase.
Key Points:
- Commission rate varies by property and our agreement with the Developer
- Specific rates are disclosed before you promote a property
- Commission percentage is calculated from the Developer Commission we receive, not from the property sale price
We reserve the right to adjust commission rates with 30 days notice
4.2 Commission Calculation Example
Example:
- Property sale price: $100,000 USD
- Developer pays us commission: $5,000 USD (5% of sale)
- Your commission rate: 20%
Your commission: $1,000 USD (20% of our $5,000 commission)
4.3 When Commission is Earned
Commission is earned when:
- A Referral uses your unique link or promotional code
- The Referral completes a property purchase with a Developer
- The Developer confirms the transaction
- The Developer pays our commission
The transaction is verified and not subject to refund or cancellation
IMPORTANT: Commission is only earned after the Developer pays us. Payment timelines vary by Developer (typically 30-90 days after property transaction completion).
5. PAYMENT TERMS
5.1 Minimum Payout Threshold
Minimum payout: $100 USD
You must accumulate at least $100 USD in earned commissions before requesting a payout.
5.2 Payment Schedule
Monthly payouts upon request
- You may request a payout once per calendar month
- Payouts are processed within 5 business days of your request
- Only commissions from completed and verified transactions are eligible
Commissions pending Developer payment are not yet eligible for payout
5.3 Payment Methods
We support the following payment methods:
- Bank wire transfer (international)
- PayPal
Other methods as mutually agreed
Bank Transfer Fees:
- International transfer fees may apply and will be deducted from your payout
Minimum payout for international wire transfer: $500 USD (to offset fees)
6. TRACKING AND ATTRIBUTION
6.1 Referral Tracking
We provide you with:
- Unique referral link(s) - personalized URLs to track your Referrals
- Promotional codes - unique codes for your audience to use
Dashboard - access to view clicks, conversions, and commission status
6.2 Cookie Duration
Referral cookies are valid for 30 days from the initial click. If a Referral completes a purchase within 30 days of clicking your link, you receive credit.
7. PROMOTIONAL GUIDELINES
7.1 Permitted Promotional Methods
You MAY promote using:
- Your own website, blog, or social media accounts
- Email marketing to your own list (with proper consent)
- Content marketing (articles, reviews, comparisons)
- Paid advertising (Google Ads, Facebook Ads, etc.) - with restrictions
- YouTube, podcasts, or other media you control
Word-of-mouth referrals
7.2 Prohibited Promotional Methods
You MAY NOT:
- Use misleading, deceptive, or false advertising
- Engage in spam, unsolicited emails, or bulk messaging
- Bid on our brand name or trademarked terms in paid search
- Create fake reviews or testimonials
- Use automated bots or click farms to generate traffic
- Impersonate the Company or misrepresent your relationship with us
- Violate any platform's terms of service (Google, Facebook, etc.)
Engage in cookie stuffing or other fraudulent tracking methods
7.3 Disclosure Requirements
You MUST disclose your affiliate relationship in accordance with FTC guidelines (USA), ASA guidelines (UK), and applicable local regulations.
Examples of proper disclosure:
- "This post contains affiliate links. I may earn a commission if you make a purchase."
- "Affiliate Disclosure: I'm an affiliate of Papaya Property and may earn a commission."
Disclosure must be clear, prominent, and placed BEFORE affiliate links
Failure to disclose may result in immediate termination and forfeiture of unpaid commissions.
8. COMPLIANCE AND LEGAL
8.1 Tax Obligations
You are solely responsible for:
- All taxes on your affiliate earnings
- Filing appropriate tax returns in your jurisdiction
- Providing tax documentation if required (W-9, W-8BEN, etc.)
Complying with local tax laws
8.2 Independent Contractor
You are an independent contractor, NOT an employee, agent, or representative of the Company.
This means:
- You are not entitled to employee benefits
- You control how and when you perform promotional activities
- You are responsible for your own business expenses
- You do not have authority to bind the Company in any agreements
You are not authorized to make representations on behalf of the Company
9. TERM AND TERMINATION
9.1 Termination by You
You may terminate at any time by:
- Cancelling your affiliate account
- Notifying us at qa@papaya-property.com
Ceasing all promotional activities
9.2 Effect of Termination
Upon termination:
- You must immediately cease all promotional activities
- Remove all referral links and Promotional Materials
- Stop using our brand name, logos, and trademarks
- Commissions for verified, completed transactions will still be paid (subject to minimum threshold)
- Pending commissions not yet verified may be forfeited
You will lose access to your dashboard

11. ACCEPTANCE
By registering as an Affiliate and participating in the Program, you acknowledge that:
- You have read and understood this Agreement
- You are at least 18 years old
- You will comply with all promotional guidelines
- You understand commission rates vary by property (10-30%)
- You understand minimum payout threshold is $100 USD
- You understand payments are processed monthly within 5 business days
- You are responsible for all taxes on your earnings
- You are an independent contractor, not an employee
You will disclose your affiliate relationship in all promotions
